Technology Companies & Startups: Technology companies require business lawyers that know how to protect valuable intellectual property. We have served as business lawyers with companies from idea through IPO.

Venture Capital & Private Equity: We represent many of Florida’s most active professional investors, whether institutional venture capital firms, angel groups or individual angel investors. By being involved in a large percentage of early-stage financing rounds in Florida, we have a deep knowledge of market terms at any given time. We have significant experience with fund formation representation.

Mergers and Acquisitions: We routinely represent clients in buy-side and sell-side mergers and acquisitions with respect to transaction and tax matters.

Clean Energy and Sustainability: Our principals have closed over $1 billion in clean energy and sustainability based capital transactions. We understand how to structure businesses and projects for obtaining investment capital, debt financing, government guaranteed loans and tax credit financing. Florida business laws and regulations relating to clean energy production tend to be more burdensome for clean energy and distributed energy projects. Knowing these challenges can be a key component of due diligence.

Social Enterprises: We have been significant supporters of the trend toward establishing companies with a principal mission of addressing one or more social issues or problems. We have been founders ourselves of several social enterprises and we understand the legal issues necessary to establish form of social enterprises as both for-profit, non-profit and combinations of the two in order to achieve double and triple bottom line goals.

University Spin-Outs: We have a length history of negotiating and securing licensed rights to university-based inventions. We understand structures preferred by university technology transfer offices as well as market terms for these niche transactions.

Business Disputes, Insolvency and Work-outs: When businesses or partnerships go badly or trouble arises, we pride ourselves on creating innovative solutions and aggressively enforcing our clients’ rights. Having built and operated our own businesses, we bring broad perspective and keen understanding that exceeds simple contracts and statutes.
